These Terms of Service govern access to studio96watches.com and purchases made from Studio96 Watches. Studio96 Watches is a trading brand operated by Modhousewatches di Lorenzo Cinciripini. By accessing the website, using its services or placing an order, you agree to these Terms together with the policies expressly incorporated below. Nothing in these Terms limits rights that cannot lawfully be excluded under applicable consumer law.

1. Acceptance and contract formation

A legally binding sales contract is formed when Studio96 accepts the order following successful payment authorization or confirmation, subject to these Terms and any lawful right to refuse or cancel an order described below. The order confirmation, checkout timestamp, payment record and recorded product configuration may be retained as evidence of the transaction and the specification accepted at checkout.

Customers are responsible for reviewing their order details before submission. Where a watch is configured through the Studio96 configurator, the selected case, dial, logo colour, hour/minute hands, seconds hand and any paid add-ons recorded at checkout form part of the agreed product specification.

2. Studio96 products and configurator

Studio96 offers Studio96-branded watches through a curated configurator currently based on 96 core design combinations, with additional branding choices such as logo colour. Studio96 may also present pre-designed configurations that can be purchased as displayed or opened in the configurator and modified before checkout.

A customer-selected configuration is binding once the order is accepted. A later preference for another case, dial, hand set, logo colour or aesthetic combination does not by itself mean that a correctly supplied watch is defective, incorrect or not as described.

Studio96 may add, remove, replace or revise configurator options, pre-designed models, components or finishes for future orders without affecting already accepted orders.

3. Production, assembly and fulfilment

Studio96 operates an order-driven production model. Depending on component availability, production capacity, order type and fulfilment requirements, watches may be assembled, tested, packaged or fulfilled directly by Studio96 or by selected production, assembly, service, logistics or fulfilment partners working to Studio96 specifications and quality standards.

Orders may therefore be dispatched from Italy or directly from a production or logistics partner in another country. The location of assembly or dispatch may vary between orders. Studio96 remains the contractual seller unless the customer is expressly informed otherwise.

Individual components may be stocked in advance even where the finished watch is assembled only after an order is placed. Production and fulfilment arrangements may change over time without requiring amendment of an existing order unless the agreed product specification is materially affected.

4. Product descriptions, images and technical characteristics

Studio96 aims to describe products accurately. Product photographs, renders and digital previews are intended to represent the relevant design and configuration, but perceived colour, reflectivity, texture and finish may vary depending on lighting, viewing angle, camera settings and display calibration.

Minor visual variation that does not materially depart from the agreed specification is not by itself a defect. Mechanical watches also have normal operating characteristics, including audible rotor movement and normal timekeeping variation within the movement manufacturer's stated tolerances.

Unless otherwise stated on the relevant product page, the current Studio96 specification includes an NH35 automatic movement, sapphire crystal, stainless-steel case, stainless-steel bracelet, 40 mm case size and 3 ATM water resistance. Product-page specifications applicable to an order prevail over general descriptions.

5. Pricing, availability and errors

Studio96 seeks to maintain accurate pricing, availability and product information, but clerical, technical or system errors may occur. Where an obvious pricing, description or availability error affects an order, Studio96 may correct the error and, where lawful, cancel the affected order before fulfilment.

If Studio96 cancels an order because of such an error after payment has been captured, the amount due will be refunded to the original payment method. Studio96 is not required to supply a product at an obviously erroneous price where applicable law does not require otherwise.

Prices may change for future orders without notice. Taxes, duties and import charges are governed by the Shipping Policy and applicable law.

6. Order acceptance, fraud prevention and refusal of service

Studio96 may refuse, hold, verify or cancel an order where reasonably necessary for fraud prevention, payment verification, sanctions or legal compliance, suspected payment abuse, incorrect or incomplete customer information, obvious commercial error, unavailable components or other legitimate operational reasons.

Studio96 may request reasonable verification before fulfilment. Failure to provide requested information may result in cancellation where the request is reasonably necessary to process the order.

Any right to refuse service or cancel an order is subject to applicable law and must not be exercised on unlawfully discriminatory grounds.

7. Shipping, customs and delivery

Processing, production, tracking, customs, carrier delays, address responsibility, lost-parcel procedures and delivery estimates are governed by the Studio96 Shipping Policy, which forms part of these Terms.

Delivery dates are estimates unless Studio96 expressly agrees a guaranteed date in writing. Carrier or customs events outside Studio96's reasonable control may affect delivery timing.

8. Returns, withdrawal, refunds and warranty

Returns, statutory withdrawal rights, refund conditions, inspection procedures, diminished-value rules, cancellations and exchanges are governed by the Studio96 Return & Refund Policy.

The Studio96 12-month commercial warranty and the rules governing qualifying manufacturing or assembly defects are contained in the Warranty Policy appended to the Return & Refund Policy. The commercial warranty is additional to, and does not replace, mandatory statutory legal-guarantee or conformity rights.

9. Changes and cancellations requested by the customer

Studio96 orders may enter component allocation, assembly, testing or fulfilment shortly after checkout. Customers should contact Studio96 immediately if they wish to change or cancel an order.

Studio96 cannot guarantee that a requested change can be implemented once production or fulfilment has begun. Where a mandatory statutory withdrawal or cancellation right applies, it will be respected in accordance with applicable law. Other changes or cancellations may be refused or accepted on terms agreed in writing.

10. Payment disputes and chargebacks

Customers are encouraged to contact Studio96 before initiating a payment dispute so that the issue can be investigated and, where appropriate, resolved directly.

A chargeback or payment dispute does not itself create a separate contractual entitlement to a refund. Where a dispute is filed, Studio96 may contest it and submit relevant evidence to the payment provider, acquiring bank or card network, including order records, configuration data, payment confirmation, tracking, delivery evidence, return records, inspection reports, production or quality-control evidence and customer communications.

Nothing in this section restricts a customer's rights under applicable payment-services or consumer-protection law.

11. Customer accounts, billing and contact information

Customers must provide accurate and current billing, shipping and contact information. Studio96 may rely on the information supplied at checkout when processing, producing and shipping an order.

Customers are responsible for keeping account credentials secure and for promptly notifying Studio96 of suspected unauthorized account use. Address-related delivery consequences are governed by the Shipping Policy.

12. Prohibited conduct

Users must not use the website or services for unlawful, fraudulent, abusive or technically harmful purposes. Prohibited conduct includes:

·   fraud, payment abuse, knowingly false claims or deliberate misrepresentation;

·   unauthorized access, interference with the website, malware distribution or security circumvention;

·   infringement of intellectual-property or privacy rights;

·   automated scraping or exploitation that materially interferes with the website or services; and

·   use of the services in violation of applicable law.

Studio96 may suspend access, refuse future service or take other proportionate measures where reasonably necessary to protect the business, customers or payment systems, subject to applicable law.

13. Intellectual property

Studio96 names, logos, dial branding, rotor branding, product designs, website content, photographs, renders, text, graphics and other original materials are owned by or licensed to Studio96 or its operator and are protected by applicable intellectual-property laws.

No content may be copied, reproduced, commercially exploited, modified, redistributed or used to imply affiliation with Studio96 without prior authorization, except where permitted by law.

Intellectual-property complaints should be sent to info@studio96watches.com or lorenzo.cinciripini@pec.it with sufficient information to identify the right claimed and the allegedly infringing material.

14. Third-party components, tools and links

Studio96 watches may incorporate components manufactured by third parties. References to movement manufacturers, component types or technical standards are descriptive and do not imply that the finished Studio96 watch is manufactured, endorsed or sponsored by the third-party component manufacturer.

The website may use or link to third-party services, payment providers, analytics systems, delivery platforms or other tools. Third-party services may be governed by their own terms and privacy policies. Studio96 is not responsible for independent third-party services beyond the extent required by applicable law.

15. User submissions, reviews and communications

Where customers submit reviews, photographs, comments, suggestions or other content to Studio96, they confirm that they have the right to submit that material and that it does not unlawfully infringe third-party rights.

Studio96 may use customer feedback and non-confidential submissions for legitimate business purposes, including customer support, product improvement, dispute handling and marketing where appropriate consent or another lawful basis exists.

Studio96 may remove unlawful, fraudulent, abusive or rights-infringing content from channels under its control where permitted by law.

16. Privacy and data protection

Personal data is processed in accordance with the Studio96 Privacy Policy and applicable data-protection law. Order, payment, configuration, shipping, support and dispute records may be retained where reasonably necessary for contract performance, legal compliance, fraud prevention, accounting, warranty administration and the establishment, exercise or defence of legal claims.

17. Liability

Studio96 is responsible for obligations that cannot lawfully be excluded or limited. To the fullest extent permitted by applicable law, Studio96 is not liable for indirect, incidental, special or consequential losses that were not reasonably foreseeable at the time the contract was formed.

Where legally permitted, Studio96's aggregate contractual liability arising from a specific order will not exceed the amount paid for that order, except where a higher or unlimited liability is required by mandatory law.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited, including mandatory consumer rights and any liability that cannot lawfully be restricted.

18. Events outside reasonable control

Studio96 is not responsible for delay or failure caused by events outside its reasonable control, including carrier disruption, customs action, severe weather, natural disasters, strikes, transport restrictions, war, governmental action, widespread network failure or comparable events, except to the extent mandatory law provides otherwise.

Where such an event materially affects performance, Studio96 may take reasonable steps to mitigate the impact and will apply any mandatory remedies required by law.

19. Governing law and consumer jurisdiction

These Terms are governed by Italian law, without prejudice to mandatory consumer protections that apply in the customer's country of habitual residence.

Any jurisdiction clause in favour of the competent Italian courts applies only to the extent permitted by applicable law and does not deprive consumers of mandatory rights concerning where legal proceedings may be brought.

20. Changes to these Terms

Studio96 may update these Terms for future use of the website and future orders. The version applicable to a purchase is the version made available when the relevant order was placed, unless a later change must apply by law or is expressly agreed by the parties.

Continued browsing of the website after publication of revised website-use terms may constitute acceptance of those revised terms where lawful, but changes will not retroactively alter an already accepted sales contract without a valid legal basis.

21. Severability and entire agreement

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect to the extent legally possible.

These Terms, together with the order confirmation, applicable product page and policies expressly incorporated into them, form the contractual framework for the order. Mandatory rights and any individually agreed written terms prevail where applicable.
